Job Description:

At Regions, our Merger Acquisition Divestiture Specialist provides flexible, adaptable, up to date models to evaluate M&As across all of its major lines of business as well as research, presentation and due diligence.

Primary Responsibilities

•Develops and refines financial models and prepares analyses to support the M&A evaluation and/or divestiture processes

•Support the M&A process by providing and running financial models that provide data on valuation of targeted companies as well as pro forma capital ratios and EPS accretion dilution, etc.

•Models should be capable of evaluating valuation perspectives (IRR and NPV), as well as evaluating the balance sheet impact, income statement impact, and Reg and GAAP capital impact to Regions Financial post transaction

•Additional considerations may include impact from loan marks at closing, related tax and FASB guidance, and evolving regulatory capital ratios

•Provide impact, not only on a static basis, but also on a multi year horizon including a range of relevant metrics

•Models must include sensitivity analyses to determine impact of incremental driver assumptions

•Performs additional financial modeling if requested to evaluate personnel liftouts type transactions

•Works directly with Accounting Policy and relevant Subject Matter Experts to ensure modeling assumptions and output are accurate

•Develops presentations to support the M&A evaluation process; presentation materials must reflect output of financial modeling to support project evaluation

•Participates in stages of the life cycle of an actual transaction including assisting in organizing and participating in due diligence

•Handles follow up modeling based on input from due-diligence results

This position is exempt from timekeeping requirements under the Fair Labor Standards act and is not eligible for overtime pay.

Requirements

•Bachelors degree in a related field

•Five years directly related experience

  • Partners with line of business partners and senior executives to develop bank and non-bank M&A strategy

  • Sets direction and provides oversight of quantitative and qualitative analysis required to support transactions

  • Lead discussions with business and functional partners, and external advisors on M&A strategy and specific transactions

  • Develops and maintains relationships with investment bankers and potential sellers to develop a pipeline of potential acquisition opportunities

  • Develops and maintains relationships with Regions’ functional teams to ensure appropriate diligence of potential opportunities

  • Serve as M&A Lead for small to medium acquisition transactions, ensuring successful execution from diligence through closing

  • Ensure the M&A team, and its partners adheres to Regions governance standards

  • Helps to manage Associates and Analysts in developing quantitative and qualitative analysis required to support transactions

  • Reviews output of team to ensure it adheres to the M&A team’s standards

  • Develops and provides oversight for development of Board and Executive-level communications

  • Communicates with Executive team, business and functional partners, and external advisors

  • Provides strategic and qualitative reviews of potential transactions and assesses fit relative to Regions’ Strategic Plan
